DC Advisory Partners advised KEYMILE International GmbH („KEYMILE“) on the sale to private equity investors Riverside and Halder.
With revenues in excess of EUR 120m and 430 employees, KEYMILE is a leading technology provider of communication solutions for access and transmission systems for public and private telecommunication networks. Main locations of the company are in Hannover (DE) and Bern (CH) and are complemented by sales offices in Latin America, Asia, and Oceania. KEYMILE-systems guarantee the highest level of availability for mission critical applications within the communication systems of rail companies, utilities and public network providers. The systems’ comprehensive multi-service-capability constitutes a major advantage, enabling network providers to provide cost-saving, incremental migration from traditional services towards Ethernet/IP.
Hannover Finanz conducted the MBO of KEYMILE in 2007 and has continuously developed the company since then. Through the acquisition of Aastra Networks in 2010, the company was able to expand its portfolio while simultaneously gaining access to the South American market. Today KEYMILE serves a large international customer base in more than 60 countries, including major telecom operators (e.g. Deutsche Telekom, EWE Tel and GVT Brazil), utilities (e.g. E.ON) and rail companies such as Deutsche Bahn.
Sascha Pfeiffer, Managing Director at DC Advisory Partners, Germany, commented: “The KEYMILE Buy-Out is an excellent example that private equity transactions involving strong companies can be successful even in volatile financial market conditions and a challenging macroeconomic environment.”
DC Advisory Partners managed a competitive sale process involving a selected number of strategic and private equity investors, which was successfully completed with the sale to Riverside and Halder. KEYMILE’s main shareholders, including Hannover Finanz, exit the company whilst management remains invested alongside the new private equity owners. Riverside is the new majority shareholder.
DC Advisory Partners acted as sole financial advisor to KEYMILE. The financial terms of the transaction were not disclosed.
