- Advising on the selection of appropriate potential financiers (“market sounding”)
- Review of comparable debt transactions and advice on the form of initial structure and underwriting approach in relation to the proposed Transaction
- Preparation of presentation / debt memo, term-sheets
- Requesting support letters and indicative term-sheets from financing banks
- Analysis of indicative financing structures and associated terms and conditions
- Negotiating the scope of due diligence required by banks
- Review of management base case / financial models
- Negotiating term sheets with selected financing banks in accordance with the key targets and priorities for the financing of the Company
- Liaising with banks during the due diligence process to ensure that all credit issues are covered and that financing commitments are received on time
- Advising on the selection of the Mandated Lead Arranger(s)
- Advising on the commercial aspects of the financing documentation (particularly financial covenants)
